TÉRMINOS Y CONDICIONES GENERALES DE DICE ESPAÑA PARA LA ASIGNACIÓN DE ENTRADAS.

Estos Términos y Condiciones forman parte del Contrato entre el Proveedor y DICE, celebrado de conformidad con el Contrato de Asignación de Entradas de DICE ESPAÑA - Hoja de Términos.

1.              Definiciones e Interpretación
 Las definiciones y las reglas de interpretación en esta Cláusula se aplicarán en este Contrato. Los términos a continuación tendrán los significados que tengan atribuidos:
Comisión adicional significa la porción del Precio Original de la Entrada pagadera por el Proveedor a un tercero (como un tercero agente de venta de entradas o al local) para proporcionar acceso de Clientes al Local;
Contrato significa, conjuntamente, las Particularidades del Contrato, los Términos Comerciales y estos Términos y Condiciones;
Fecha Anunciada significa, en relación a un Evento para el cual DICE pondrá las Entradas a la Venta, la fecha cuando DICE publica la información sobre dicho Evento en los Servicios de DICE.
Leyes Aplicables de Protección de Datos tiene el significado definido en la Cláusula 12.5(a);
Leyes Aplicables significa todas las leyes nacionales, supranacionales, extranjeras o locales (incluyendo la jurisprudencia), legislación, reglamentos europeos, estatutos, instrumentos estatutarios, reglas, regulaciones, edictos, ordenanzas municipales o directivas de cualquier gobierno o agencia gubernamental, incluyendo cualquier regla, regulación, pautas u otros requisitos de las autoridades reguladores correspondientes que tengan fuerza de ley, junto con cualquier código de práctica industrial en vigor en cada momento;
Día Hábil significa cualquier día que no sea sábado, domingo o festivo en España;
Cláusula Significa una cláusula de este Contrato
Fecha de Comienzo significa la fecha de comienzo especificada en las Particularidades del Contrato;
Términos Comerciales los términos comerciales del Contrato;
Comisión significa la cantidad acordada por escrito entre las partes como Comisión y descrita en la Cláusula 6.1(b);
Notificación de Consentimiento tiene el significado definido en la Cláusula 14.7(a);
Año Contractual el período de 12 meses desde la Fecha de Comienzo y cada periodo consecutivo de 12 meses siguientes durante la Duración;
Cliente significa la persona que Compra una Entrada;
Daños significa cualquier daño directo, pérdida, responsabilidad, reclamación, obligación, deficiencia, coste, gasto, multa o sanción (incluidos los gastos razonables de defensa legal, de expertos o de consultores en los que se haya incurrido de manera razonable y adecuada), pero excluyendo las Pérdidas o cualquier daño incidental, indirecto o consecuente;

DICE
significa DICE FM S.L.U., como se describe en las Particularidades del Contrato;

Comisiones de DICE
significa la Comisión por Servicios y, si procede, los Gastos Postales de DICE;

Logos de DICE
significa los Logos oficiales de proporcionada eventualmente por DICE al Proveedor;

Gastos Postales de DICE
significa los gastos de entrega que DICE cobra al Proveedor para que DICE entregue Entradas físicas a los Clientes por parte del Proveedor;

Servicios de DICE
significa los sitios web y aplicaciones de dispositivos móviles de venta de entradas que proporciona DICE;

Evento
significa cada una y todas las funciones de un evento de entretenimiento o deportivo que sea (i) presentado, promocionado o de otra manera organizado por el Proveedor o (ii) que se celebre en un Local actualmente o posteriormente propiedad del Proveedor, o en el cual posee una participación mayoría o participación de control, o que gestiona durante la Duración del Contrato

Información de Evento
significa cualquier y toda la información relacionada con un Evento, Entrada y/o el Proveedor según sea proporcionada por el Proveedor a DICE, incluyendo pero no limitándose al Evento, la Fecha Anunciada, Fecha de Disponibilidad para la Venta, los nombres de los artistas, las fechas del Evento, las fechas y horarios de las actuaciones, los detalles exactos del asiento en el caso de zonas reservadas de asientos, y los detalles de cualquier acceso para personas con o necesidades especiales de asientos, o si el evento está sujeto a contingencias que incluyendo pero no limitándose a el clima o cualquier restricción de edad.

Valor Nominal
significa la suma acordada por escrito entre las partes como el Valor Nominal y descrita en la Cláusula 6.1(a);

Plazo Inicial
tiene el significado definido en la las Particularidades del Contrato;

Evento de Insolvencia
significa cuando una parte se vuelve, o se tenga la certeza razonable de que se va a volver insolvente, sea declarada en bancarrota, declare un concurso de acreedores voluntario, en liquidación, disolución, administración judicial o administrativa, formalice un acuerdo corporativo con acreedores, o cualquier reconocimiento de deuda con acreedores, o cualquier procedimiento análogo en otra jurisdicción;

Derechos de Propiedad Intelectual e Industrial
significa cualquier patente, copyright, marca comercial, marca de servicio o nombre comercial, logo, modelo de utilidad, derecho de diseño, derecho de base de datos, derecho moral, derecho relacionado con la usurpación de dominio y todos los derechos similares o equivalentes en cada caso, sean registrados o no, e incluyendo todas las solicitudes (o derechos de solicitud) para, o la renovación o extensión de los mismos, que existan ahora o que puedan existir en el futuro en cualquier jurisdicción;

Pérdidas
significa cualquier lucro cesante, venta o negocio, acuerdos o contratos, ahorros anticipados, corrupción de software, datos o información, daños a la buena voluntad, pérdidas indirectas o consecuentes, reclamaciones, pérdidas, demandas, acciones, reclamaciones de terceros, daños, costas (incluidas las costas judiciales y los honorarios legales), multas, responsabilidades, obligaciones, gravámenes y gastos

Materiales
tiene el significado definido en la Cláusula 10.3;

Cliente Nuevo
tiene el significado definido en los Términos Comerciales;

Fecha de Disponibilidad para la Venta
significa la fecha en la que las Entradas de un Evento se pongan a disposición del Cliente para su Compra;


Cliente Original
tiene el significado definido en los Términos Comerciales;

Precio Original de la Entrada
significa la cantidad total pagada por un Cliente en el momento de Comprar de una Entrada (no por medio de la Lista de Espera);

Particularidades del Contrato
significa las particularidades del Contrato;

Compra
significa la compra o adquisición de una Entrada realizada por un Cliente al Proveedor por medio de los Servicios de DICE;

Plazo de Renovación
tiene el significado definido en las Particularidades del Contrato;

Ingresos de Ventas
significa la suma total del Precio Original de las Entradas cobradas por DICE de los Clientes por cuenta del Proveedor en relación con todas las Entradas Compradas para un Evento, menos la suma total del Precio Original de la Entradas devuelta o que deba devolverse al Cliente Original según los Términos Comerciales;

Comisión por Selección de Asiento
tiene el significado definido en los Términos Comerciales;

Pago automático
sistema de auto facturación y pago de DICE, disponible a través de los Servicios de DICE, sujeto a que el Proveedor y el Evento cumplan los requisitos para el Pago Automático impuestos eventualmente al Proveedor;

Comisión por Servicios
tiene el significado definido en los Términos Comerciales;

Sistemas
tiene el significado definido en la Cláusula 19.1;

Plazo
significa el Plazo Inicial junto con cualquier Plazo de Renovación;

Entrada
significa cualquier entrada impresa o digital, o cualquier tipo de prueba del derecho o a ocupar un espacio o a asistir a un Evento según se haya ofrecido para la Compra en los Servicios de DICE;

Asignación de Entrada
tiene el significado definido en los Términos Comerciales

Proveedor
tiene el significado definido en las Particularidades del Contrato;

Datos Bancarios del Proveedor
tiene el significado definido en las Particularidades del Contrato;

Marketing del Proveedor
tiene el significado definido en la Cláusula 12.6;

Pago al Proveedor
significa los Ingresos de Ventas menos cualquier cantidad debida a DICE (incluyendo las Comisiones de DICE y la Comisión de Cancelación) según este Contrato, más cualquier reparto de la Comisión por Selección de Asiento y cualquier reparto de la diferencia entre el Precio Original de la Entrada y el Precio de Lista de Espera que DICE haya acordado repartir con el Proveedor según los Términos Comerciales;

Local
significa el edificio o lugar donde se celebra un Evento;

Gastos del Local
significa la porción del Precio Original de la Entrada pagadera por el Proveedor al Local por proporcionar a los Clientes el acceso al Local, siendo dichos Gastos del Local cobrados por DICE a los Clientes en nombre del Proveedor;

Lista de Espera
tiene el significado definido en los Términos Comerciales;

Plazo de Lista de Espera
significa la fecha cuando se termina la Lista de Espera de un Evento;

Precio de Lista de Espera
significa la cantidad total pagada por un Cliente Nuevo a la hora de Comprar una Entrada por medio de la Lista de Espera.

1.1.     Los títulos del Contrato solamente se han incluido por comodidad y no afectarán la interpretación o lectura del este Contrato.

1.2.     Las palabras en singular incluirán el plural y viceversa. Las palabras que se refieren a un género específico se referirán a todos los géneros. Las referencias a una persona incluirán un individuo, compañía, ente corporativo, corporación, sociedad sin constituir, firma, sociedad o cualquier ente jurídico. 

1.3.     Las palabras “otra”, “incluye”, “incluyen”, “incluyendo” y “en particular” no limitarán el alcance general de las palabras anteriores, ni se interpretará como una limitación a la misma clase de las palabras anteriores cuando sea posible una interpretación más amplia.

1.4.     Las referencias a cualquier estatuto o disposición estatutaria incluirán: (i) cualquier legislación subordinada promulgada bajo las mismas; (ii) cualquier disposición que haya modificado o consolidado (sea con o sin una modificación); y (iii) cualquier disposición que posteriormente la reemplace o consolide (con o sin modificación).

1.5.     Si surge cualquier duda entre cualquier disposición que contengan estos Términos y Condiciones y cualquier disposición contenida en las Particularidades del Contrato o en los Términos Comerciales, la disposición de las Particularidades del Contrato o los Términos Comerciales prevalecerán.

1.6.     Este Contrato se aplica al objeto de este Contrato con exclusión de cualquier otro término que el Proveedor quiera imponer o incorporar entre el Proveedor y DICE, o que sean aplicadas por el sector, costumbre, práctica o en el transcurso de una negociación. 

2.              Nombramiento

2.1.           Por la presente, el Proveedor nombra a DICE para la  Duración del Contrato como su agente registrado para que publicite, promocione y comercialice la venta de Entradas por parte del Proveedor dentro  del Territorio según lo dispuesto en los términos de este Contrato y en cualquier instrucción escrita proporcionada ocasionalmente por DICE.

2.2.           A cambio de la Comisión por Servicios, DICE, en nombre del Proveedor, hará disponibles las Entradas para que sean Compradas. 

2.3.           El Proveedor autoriza a DICE a cobrar los Ingresos de Ventas de cada Entrada Comprada.

2.4.           Sujeto a las Cláusulas 2.6 y 2.7, DICE se esforzará de manera razonable para vender, en nombre del Proveedor, su asignación de Entradas de un Evento a los Clientes, pero en ningún momento DICE  garantiza que se venda ningún número mínimo o fijo de Entradas a través de los Servicios de DICE.

2.5.           El Proveedor podrá proporcionar a DICE una copia de sus términos y condiciones de venta (si existen) para su comunicación a los Clientes durante el proceso de Compra de las Entradas mediante los Servicios de DICE

2.6.           El Proveedor reconoce y acuerda que el nombramiento de DICE bajo este Contrato no tiene naturaleza exclusiva y que DICE podrá tener otros eventos listados y ofrecer otras entradas para su venta a través de los Servicios de DICE en paralelo a cualquier Evento, según sean promocionados por otros proveedores

2.7.           Los Eventos incluidos dentro de la Asignación de Entrada estarán sujetos a la discreción exclusiva de DICE. Además, si DICE formaliza un acuerdo con un local antes o después de la fecha de este Contrato bajo el cual el local asigna entradas a DICE para que las ponga a disposición a través de los Servicios de DICE, y si dicha asignación de entradas se refiere a un Evento, DICE tendrá derecho a poner dicha asignación de entradas exclusivamente en los Servicios de DICE, excluyendo cualquier entrada que ponga a disposición el Proveedor para dicho Evento.

3.              Asignación

El Proveedor asignará y, si es necesario, entregará la Asignación de Entradas a DICE para la Duración del Contrato, de la manera y según el método acordado por escrito entre las partes en cada momento.

4.              duración

Este Contrato entrará en vigor en la Fecha de Comienzo y (sujeto a las disposiciones de este Contrato para resolución anticipada según la Cláusula 15) seguirá en vigor durante la Duración del Contrato.

5.              información de eventos

5.1.           El Proveedor proporcionará a DICE una Información de Evento completa y precisa para cada Evento en el cual DICE ponga a disposición Entradas para su Compra, y dicha Información de Evento incluirá:

(a)             Información que DICE debe entregar a los Clientes bajo cualquier Ley Aplicable; y 

(b)             Cualquier otra información que razonablemente pida DICE, incluyendo la información mencionada en la Cláusula 6.

5.2.           El Proveedor proporcionará la Información de Evento no más tarde de dos (2) Días Hábiles antes de la Fecha Anunciada del Evento correspondiente. Para evitar dudas, la Fecha Anunciada podrá ocurrir antes o en el mismo momento que la Fecha de Disponibilidad para la Venta.

5.3.           El Proveedor garantiza y se compromete a no proporcionar ninguna Información de Evento que:

(a)             Sea falsa, imprecisa o que lleve a engaño;

(b)             Infrinja los Derechos de Propiedad Intelectual e Industrial de cualquier tercero;

(c)             Infrinja cualquier Ley Aplicable;

(d)             Sea o razonablemente pueda considerarse intimidatoria, ilegal, dañina, amenazadora, discriminatoria, pornográfica, engañosa, ofensiva o difamatoria;

(e)             Facilite una actividad ilegal;

(f)              Cause lesiones o daños a cualquier persona o propiedad;

(g)             Pueda, según el criterio razonable de DICE, tener un impacto negativo en el negocio de DICE y/o su reputación;

(h)             Incluya cualquier información con referencias a otros sitios web (aparte del sitio web del Proveedor), direcciones, correos electrónicos, información de contacto o números de teléfono; y/o

(i)              Que contenga virus informáticos, gusanos u otros programas o archivos informáticos que puedan causar daño.

5.4.           DICE no será responsable, directa o indirectamente, de la responsabilidad contractual, de la responsabilidad extracontractual (incluida la negligencia), falsedad, restitución o cualquier otra causa a terceros o a cualquier Cliente por cualquier incumplimiento por parte del Proveedor de las garantías y compromisos proporcionados éste en virtud de las Cláusulas 5.3(a) – 5.3(i) mencionadas arriba.

5.5.           Por la presente el Proveedor otorga a DICE el derecho y licencia, libre de cánones, perpetuo, irrevocable y transferible, para que pueda usar, reutilizar, copiar, exhibir, modificar, grabar, reproducir, comunicar, transmitir, publicar, distribuir, exhibir, realizar, borrar el contenido entero, adaptar, publicar, traducir, crear obras derivativas de y/o incorporar la Información del Evento en cualquier formato, medio o tecnología actualmente conocida o que pueda desarrollarse a partir de ahora en el mundo sin más notificación, autorización o compensación para el Proveedor o cualquier persona que actúe en nombre del Proveedor. El Proveedor declara y garantiza que no se requieren más permisos, autorizaciones ni licencias del Proveedor o de un tercero para que DICE utilice la Información de Evento.

5.6.           DICE retendrá el control editorial de todo el contenido presentado en los Servicios de DICE o comunicado de otra manera a los usuarios de los Servicios de DICE, y DICE tiene derecho, a su única y absoluta discreción, a eliminar u ordenar la retirada de cualquier Entrada puesta a la venta o cualquier Información de Evento publicada o puesta a disposición de otra manera por el Proveedor o de parte del Proveedor que DICE considere que infringe los términos de esta Cláusula 5.

5.7.           El Proveedor obtendrá el consentimiento previo por escrito de DICE si el Proveedor desea publicar o facilitar al público de otra forma una descripción de cualquier elemento de los Servicios de DICE en cualquier medio fuera de los Servicios de DICE. Al obtener el consentimiento de DICE, el Proveedor proporcionará una copia de dicha descripción a DICE, a petición de DICE. El Proveedor y DICE se consultaran por escrito sobre el calendario, el contenido y la forma de publicación de cualquier anuncio.

5.8.           El Proveedor se comprometerá a agregar elementos de la marca DICE al Evento o dentro y fuera del Local, que serán acordados mutuamente, y pagados y proporcionados por DICE.

5.9.           El Proveedor se compromete a informar por adelantado a DICE de cualquier evento promocionado por marcas, y tendrá la opción de retirar cualquier o toda las marcas de DICE en caso de que pueda haber conflicto entre marcas.

6.              COMISIONES DE EVENTO

6.1.           En el plazo máximo de dos (2) Días Hábiles antes de la Fecha Anunciada, DICE y el Proveedor acordarán y documentarán (dicha documentación podrá ser por correo electrónico) la información siguiente en relación con el Evento:

(a)             El valor real (‘’El Valor Nominal’’) de todas las Entradas;

(b)             La Comisión;

(c)             Cuando sea aplicable, los Gastos Postales de DICE;

(d)             Cuando sea aplicable, los Gastos del Local; y

(e)             Cuando sea aplicable, la Comisión Adicional.

6.2.           DICE no tendrá obligación de facilitar las Entradas para su Compra hasta el momento en que todas las partes hayan cumplido sus obligaciones bajo la Cláusula 6.1.

7.              CAMBIOS Y CANCELACIONES DE EVENTOS

7.1.           El Proveedor notificará a DICE de inmediato y sin demora indebida, de cualquier:

(a)             Cambio de programación;

(b)             Cambios de Local;

(c)             Cambios de artistas; y/o 

(d)             Cancelaciones,

relacionado con Eventos para los cuales se ofrezca la Compra de Entradas a través de los Servicios de DICE.

7.2.           El Proveedor será el único responsable de los costes incurridos por cualquiera de las partes como resultado de cualquier cambio o cancelación del Evento, incluyendo sin limitación a los asuntos enumerados en la Cláusula 7.1 anterior.

7.3.           Si se requiere que DICE modifique la información proporcionada a cualquiera de los Clientes en los Servicios de DICE, el Proveedor aceptará reembolsar a DICE por los gastos totales (si corresponde) incurridos por DICE al anunciar o notificar al Cliente cualquier cambio en el Evento o cualquier información sobre éste y, realizar el pago de cualquier tarifa administrativa incurrida por DICE en relación a dichos cambios.

7.4.           Si se cancela o reprograma un Evento (y el Cliente no puede asistir en la fecha reprogramada), o la actuación no es razonablemente satisfactoria para el Cliente, entonces el Proveedor será responsable de proporcionar los reembolsos debidos y pagaderos al Cliente. Dichos reembolsos  deberán pagarse según lo establecido en la Cláusula 9.12.  Para evitar cualquier duda, DICE no será responsable ante ningún Cliente o tercero por ninguna pérdida, demanda, coste o gasto por cualquier cancelación, aplazamiento, demora o cambio en la Información del Evento, y el Proveedor proporcionará a DICE una indemnización contra la misma. La indemnización según lo establecido en esta cláusula 7.4 continuará operando a pesar de la terminación de este acuerdo por cualquier razón o por la expiración de la Duración.

8.              COMISIONES DE DICE

8.1.           El Proveedor pagará a DICE las:

(a)             Comisiones de DICE; y

(b)             Los Daños derivados, en su caso, de la cancelación de un evento, de conformidad con la Cláusula 8.2.

8.2.           DICE tendrá derecho a reclamar los Daños al Proveedor  cuando un Evento sea:

(a)             Cancelado, reprogramado, pospuesto, demorado, recortado o no completado (parcialmente o completamente) por cualquier razón; y/o

(b)             Tenga cambios de asientos o alteraciones tales que necesita o resulta en que se contacte al Cliente para avisar al Cliente de cualquier cambio en la Información del Evento o la disposición de las entradas. 

8.3.           El Proveedor (i) autoriza a DICE a cobrar las Comisiones de DICE y cualquier impuesto aplicable y (ii) reconoce que DICE se quedará con cualquier diferencia entre el Precio Original de la Entrada y el Precio de Lista de Espera (por Entrada, si es aplicable), deduciendo dichas cantidades de los Ingresos de Ventas en posesión de DICE antes de enviar el Pago al Proveedor según la Cláusula 9.

8.4.           DICE facturará al Proveedor por:

(a)             Las Comisiones de DICE, más IVA, si es aplicable, con las fechas y frecuencia de facturas que se acuerden entre las partes para cada Evento; y

(b)             Cualquier Daño dentro de los 90 días posteriores a la cancelación del Evento correspondiente.

8.5.           Cuando el Pago Automático esté disponible para un Evento, el Proveedor podrá iniciar el proceso de facturación y pago a DICE mediante la cuenta del Proveedor en los Servicios de DICE. Una vez que el Proveedor haya solicitado el Pago Automático para un Evento, la factura de DICE para las Comisiones de DICE será generada y enviada al Proveedor. DICE no emitirá una factura de IVA separada en relación a dichas Comisiones de DICE.

9.              PAGO Y DISTRIBUCIÓN DE FONDOS

9.1.           El Proveedor autoriza a DICE, sus agentes y subcontratistas a aceptar pagos de los Ingresos de Ventas por Clientes por medio de cualquier forma de pago aprobada por escrito por DICE en relación con la venta de Entradas, incluyendo cualquier tarjeta de crédito o débito.

9.2.           DICE, bajo su absoluta y exclusiva discreción, puede acordar proporcionar una suma de dinero al Proveedor como un adelanto sobre un Evento específico para el cual DICE ha recibido una Asignación de Entrada (“Adelanto”).

9.3.           DICE pagará al Proveedor una cantidad igual al Pago al Proveedor por Evento; dicho pago se hará según esta Cláusula 9 y siempre sujeto a las Cláusulas 9.5 y 9.11.

9.4.           Sujeto a la Cláusula 9.5, DICE realizará el Pago al Proveedor al Proveedor bajo la Cláusula 9.3 en un plazo de 5 Días Hábiles desde la fecha de realización del Evento correspondiente.

9.5.           La disposición siguiente se aplicará si se ha pagado un Adelanto según se describe en la Cláusula 9.2:

(a)             Si el Pago al Proveedor del Evento correspondiente es menor que el Adelanto, el Proveedor pagará a DICE una cantidad equivalente al Adelanto menos el Pago al Proveedor; o

(b)             Si el Pago al Proveedor por el Evento correspondiente es superior al Adelanto, entonces una cantidad igual al Adelanto será deducida del Pago al Proveedor por dicho Evento, de manera que solamente la cantidad del Pago al Proveedor por dicho Evento que exceda al Adelanto será pagado por DICE al Proveedor.

9.6.           El Proveedor será responsable de liquidar:

(a)             Cualquier Gasto del Local al Local; y

(b)             Cualquier Comisión Adicional al tercero correspondiente.

9.7.           DICE realizará el pago según la Cláusula 9.3:

(a)             Con los Datos Bancarios del Proveedor, usando un tercero procesador de pago (según la Cláusula 9.10);

(b)             Con los Datos Bancarios del Proveedor por BACS (Bacs Payment Schemes Limited); o

(c)             Por cualquier otro medio acordado entre el Proveedor y DICE por escrito en cada momento.

9.8.           DICE no realizará pagos al Proveedor hasta que DICE haya recibido los Datos Bancarios del Proveedor. Todas las cantidades pagaderas de DICE al Proveedor bajo este Contrato serán pagados por DICE al Proveedor usando los Datos Bancarios del Proveedor, u otros detalles de cuentas bancarias acordados entre DICE y el Proveedor por escrito.

9.9.           El Proveedor reconoce que DICE no tendrá responsabilidad por la verificación de los Datos Bancarios del Proveedor o por la autenticidad de cualquier instrucción de liquidación, y el Proveedor acepta que DICE pueda confiar de los Datos Bancarios del Proveedor, como que sea la cuenta bancaria correcta para cargar o abonar según este Contrato. Si el Proveedor da instrucciones a DICE para cambiar los Datos Bancarios del Proveedor, DICE tiene derecho a solicitar una confirmación por escrito antes de actuar de acuerdo con ella. El Proveedor debe realizar todo lo que sea razonablemente posible para evitar que personas no autorizadas manden cualquier instrucción a DICE sobre los Datos Bancarios del Proveedor y debe informar a DICE cuanto antes si una persona no autorizada envía instrucciones a DICE. A menos que el Proveedor informe a DICE de lo contrario por escrito, el Proveedor será responsable de todas las instrucciones que DICE reciba y actúe en consecuencia, incluso en el caso de que las instrucciones no fuesen emitidas por el Proveedor o por los representantes autorizados del Proveedor, y el Proveedor será responsable de cualquier Pérdida que pueda surgir debido a tales instrucciones. 

9.10.         Los servicios de procesamiento de pago utilizados por DICE para realizar los pagos al Proveedor son ocasionalmente proporcionados por un tercero que realiza el procesamiento de pagos en nombre de DICE, siendo actualmente Stripe Payments Europe, Ltd (“Stripe”). Cualquier pago realizado por medio de un procesador de pagos de terceros  estará sujeto a los términos y condiciones de dicha empresa y, en el caso de Stripe, al Contrato de Stripe Connected Account, que incluye los Términos de Servicio de Stripe (conjuntamente el “Contrato de Servicios de Stripe”). Al formalizar este Contrato o continuar tratando a DICE como agente registrado, el Proveedor acuerda someterse al Contrato de Servicios de Stripe (u otros términos y condiciones del correspondiente tercer procesador de pagos de  según se notifique al Proveedor en cada momento), que podrán ser modificados por Stripe en cualquier momento. Como condición de que DICE facilite los servicios de procesamiento de pago a través de Stripe (u otro tercero procesador de pagos), el Proveedor acuerda proporcionar a DICE información precisa y completa sobre el Proveedor y sus negocios, y el Proveedor autoriza a DICE a compartir dicha información y la información de transacciones relacionada con el uso de servicios de procesamiento de pago proporcionados por Stripe (o cualquier tercero procesador de pagos). El Proveedor será totalmente responsable de cualquier Pérdida que surja como resultado de cualquier información falsa, inexacta o engañosa proporcionada a DICE.

9.11.         DICE tendrá derecho a compensar cualquier cantidad debida a DICE por el Proveedor bajo este Contrato contra los Ingresos de Ventas en posesión de DICE.

9.12.         Si un Cliente tiene derecho a un reembolso según la Cláusula 7.4, DICE tendrá derecho a reembolsar al Cliente correspondiente en nombre del Proveedor mediante la:

(a)             Compensación de una cantidad igual al reembolso de los Ingresos de Ventas correspondientes en posesión de DICE; o

(b)             Si los Ingresos de Ventas correspondientes no son suficientes para cubrir el reembolso a pagar, o si DICE ya ha enviado los Ingresos de Ventas correspondientes al Proveedor, el Proveedor transferirá dichas cantidades a DICE para hacer posible que DICE cumpla con los reembolsos; dicha transferencia debe realizarse dentro de las cuarenta y ocho (48) horas siguientes a la petición de DICE.

9.13.         El Proveedor se responsabilizará del pago y liquidación de todos y cada uno de los impuestos soportados o estimados sobre el Pago al Proveedor según el Contrato. Cuando el IVA sea aplicable, la contabilidad y pago al Servicio de Aduanas e Impuestos de cualquier IVA sobre todos y cada uno de los montos a pagar al Proveedor bajo este Contrato será responsabilidad única del Proveedor. El Proveedor será responsable de emitir la factura con IVA al Cliente por la Compra, cuando sea solicitada por dicho Cliente.

10.            Propiedad intelectual e industrial

10.1.         Siempre que DICE lo solicite, el Proveedor incluirá los Logos de DICE en todos los anuncios correspondientes u otro material promocional creado, producido o usado en relación con un Evento.  Para los propósitos de esta Cláusula 10.1, DICE deberá otorgar al Proveedor una licencia no exclusiva, intransferible, personal, revocable y limitada para usar los Logos de DICE durante la Duración del Contrato con el único propósito de ejercer los derechos del Proveedor otorgados bajo la Cláusula 10.1.

10.2.         Según la Cláusula 10.1, el Proveedor no tendrá ningún derecho en relación con los Logos de DICE o con el fondo comercial relacionado con los Logos de DICE, ni con ningún otro Derecho de Propiedad Intelectual e Industrial de DICE.  El Proveedor reconoce que los derechos, sean legales, de propiedad u otros, y todo el fondo de comercio relacionado con los Logos de DICE y cualquier otro Derecho de Propiedad Intelectual e Industrial de DICE son y seguirán siendo propiedad de DICE, y que dichos Logos de DICE y cualquier otro Derecho de Propiedad Intelectual e Industrial de DICE son y permanecerán, entre este y DICE, la propiedad de DICE o sus licenciados.

10.3.         Ocasionalmente, el Proveedor podrá proporcionar a DICE materiales o contenido relacionado con Eventos, artistas o el Proveedor, incluyendo fotografías e imágenes (audio y/o visuales), texto, música, marcas comerciales, símbolos, logos, eslóganes (“Materiales”). Por la presente el Proveedor otorga a DICE una licencia perpetua libre de cánones para utilizar los Materiales para los propósitos de anunciar, comercializar y promover los Eventos correspondientes.

11.            Colgado ilegal de carteles

11.1.         El Proveedor no permitirá ni organizará el colgado ilegal de carteles u otra publicidad ilegal de un Evento en contra de cualquiera de las Leyes Aplicables. El Proveedor no usará el nombre, dirección web de DICE, ni los Logos de DICE, ni ninguno de los Derechos de Propiedad Intelectual e Industrial de DICE en relación con el colgado ilegal de carteles u otra publicidad ilegal. En el caso de que se le notifique a DICE que se haya realizado el colgado ilegal de carteles en relación con un Evento, esto constituirá un incumplimiento grave de este Contrato y DICE tendrá derecho a:

(a)             Resolver este Contrato según la Cláusula 15.2(a); y/o

(b)             Compensar los gastos incurridos por DICE para quitar los carteles y/o cualquier multa y/o pago que se requiera a DICE pagar en relación con dicho colgado ilegal de carteles contra los Ingresos de Ventas para el Evento correspondiente y/o cualquier otro evento producido o promocionado por el Proveedor.

12.            DATOS PERSONALES DEL CLIENTE

12.1.         En esta Cláusula 12, los términos responsable de tratamiento de datos, datos personales, categorías especiales de datos personales y tratamiento serán los definidos en el Reglamento General de Protección de Datos de la UE 2016/679 (según sea modificada o sustituida en cada momento) (el “RGPD”) y:

(a)             Los “Interesados” son Clientes; y

(b)             “Datos” significará los datos personales y categorías especiales de datos personales de los Interesados tratados en relación con este Contrato.

12.2.         Esta Cláusula 12 establece la base sobre la cual DICE proporciona los Datos.

12.3.         DICE y el Proveedor reconocen que cada parte es responsable del tratamiento de datos en relación con los Datos, aunque no son corresponsables del tratamiento de datos. 

12.4.         DICE podrá comunicar los Datos al Proveedor y a otros terceros (incluyendo los Locales) en la medida en que se requieran dichos Datos para la gestión de un Evento específico. El Proveedor se asegurará de que tenga los contratos correspondientes establecidos con terceros, con obligaciones equivalentes a aquellos que se han establecido a continuación en las cláusulas 12.5 y 25, y todas las demás obligaciones de protección de datos requeridos bajo las Leyes Aplicables de Protección de Datos.

12.5.         Cada parte:
(a)             Se asegurará que cumple con todas las leyes de protección de datos aplicables al tratar los Datos (incluyendo el RGPD y la Ley Orgánica 3/2018, de 5 de diciembre, de Protección de Datos Personales y garantía de los derechos digitales) (“Leyes Aplicables de Protección de Datos”);
(b)             Tratará los Datos de manera justa y legítima según las Leyes Aplicables de Protección de Datos; y
(c)             Se asegurará que ha implementado las medidas técnicas y organizativas apropiadas para evitar el tratamiento no autorizado o ilegal de los Datos, y contra la pérdida accidental, destrucción o daños de los Datos. 

12.6.         Cuando el Proveedor quiera realizar marketing directo en relación con un Interesado (“Marketing del Proveedor”), deberá asegurarse que tiene una base legítima para realizarlo según las Leyes Aplicables de Protección de Datos.

12.7.         Las partes podrán acordar que DICE obtenga el consentimiento del Interesado e nombre del Proveedor con el propósito de que el Proveedor realice Marketing del Proveedor. Se aplicarán los siguientes puntos a cualquier acuerdo:
(a)             DICE presentará un texto para los Interesados como notificación de consentimiento al Marketing del Proveedor (“Notificación de Consentimiento”);
(b)             Cuando dependa de la Notificación de Consentimiento, el Proveedor limitará su Marketing del Proveedor a las actividades que sean permitidas por las Leyes Aplicables de Protección de Datos, dentro del alcance de la Notificación de Consentimiento; y
(c)             En el caso de que el Interesado proporcione su consentimiento usando la Notificación de Consentimiento y posteriormente envíe una solicitud de retirar su consentimiento a dicho Marketing del Proveedor durante la Duración del Contrato: (a) la parte que reciba dicha solicitud de retirada deberá notificar inmediatamente a la otra parte por escrito y (b) el Proveedor asegurará el respeto a la retirada de consentimiento por parte del Interesado.

12.8.         El Proveedor informará inmediatamente a DICE por escrito si, bajo la opinión del Proveedor, se ha producido cualquier acto u omisión por parte del Proveedor o DICE dentro de  este Acuerdo, de la infracción de las Leyes Aplicables de Protección de Datos o cualquier otra Ley Aplicable relacionada con la protección de datos y  dónde se detallen los motivos de su opinión, siempre que esto no resulte contrario a lo determinado en la cláusula 12.5 (a).

12.9.         El Proveedor deberá implementar y mantener, a su propio coste y gasto, las medidas técnicas y organizativas adecuadas en relación con el tratamiento de cualquier Dato.

12.10.       El Proveedor, a su propio coste y gasto, proporcionará cualquier información, cooperación y asistencia a DICE según lo requiera DICE (teniendo en cuenta la naturaleza del tratamiento y la información disponible para DICE) para garantizar el cumplimiento de las obligaciones de DICE según las Leyes Aplicables de Protección de Datos.

12.11.       El Proveedor, a su propio coste y gasto, proporcionará y procurará un acceso razonable a DICE o a cualquiera de sus agentes que actúen en nombre de DICE al acceso a las instalaciones, el equipo, el local, los sitios y el personal del Proveedor, según sea necesario para que DICE cumpla con sus obligaciones bajo las Leyes Aplicables de Protección de Datos.

12.12.       La cláusula 12.5 (a) continuará teniendo efectos después de la terminación o vencimiento de este Contrato.

13.            Entradas

13.1.         El Proveedor deberá aceptar todas las Entradas Compradas, incluyendo Entradas digitales generadas por los Servicios de DICE para poder admitir Clientes a cada Evento. El formato de dichas Entradas digitales será notificado por DICE al Proveedor antes del Evento.

13.2.         Si un Evento requiere una Entrada física, entonces DICE realizará la entrega de las Entradas a los Clientes, y DICE tendrá derecho a cobrar los Gastos Postales de DICE al Proveedor.

13.3.         El Proveedor es responsable de garantizar la autenticidad de cualquier Entrada proporcionada por un Cliente en el momento de la admisión,

13.4.         Cuando se requiera que DICE proporcione una Entrada física a los Clientes, DICE tendrá derecho, a su exclusivo y absoluto criterio, a anunciar o vender publicidad en el reverso de cualquier entrada. DICE hará todos los esfuerzos razonables para garantizar que cualquier anunciante o publicidad no compita directa o indirectamente con el Proveedor o con el Evento en cuestión. DICE no se hará responsable de ninguna información falsa, inexacta o engañosa contenida en los anuncios mostrados en las respectivas Entradas.

13.5.         Si la falta de tiempo imposibilita la entrega de Entradas a los Clientes, el Proveedor se asegurará de que se envíe un correo electrónico o confirmación electrónica al Cliente con un número de referencia apropiada para permitir al Cliente intercambiar la confirmación por una Entrada cuando llegue al Local. La confirmación por e-mail podrá decir que el Cliente deba intercambiar la confirmación por una Entrada auténtica en otro lugar designado. El Proveedor aceptará la confirmación por correo electrónico como Entrada Comprada.

13.6.         El Proveedor correrá con todo el riesgo de la falsificación o robo de Entradas. El Proveedor deberá compensar a DICE con relación a todas las Pérdidas sufridas o incurridas por DICE en relación con la falsificación o robo de Entradas (salvo cuando sea causada por cualquier infracción de este Contrato por o debido a negligencia por parte de DICE).

13.7.         DICE tendrá el derecho, según su discreción única, de cancelar cualquier transacción para la Compra de una Entrada si tiene razón para creer que un Cliente o potencial Cliente ha usado los Servicios de DICE de manera fraudulenta o de manera contraria a las Condiciones de Uso y de Compra de DICE según sean actualizados en cada momento (y según especifican los Servicios de DICE). DICE no tendrá la obligación de realizar ningún pago al Proveedor en relación a cualquier transacción de esta naturaleza, y si se lo pide DICE, el Proveedor reembolsará cualquier fondo que ya haya sido remitido por DICE al Proveedor en relación con cualquier transacción de esta naturaleza, para permitir a DICE cancelar la transacción y devolver dichos fondos mediante el método de pago original usado para pagar dicha transacción. 

13.8.         DICE solo ofrecerá el número de Entradas a Clientes que el Proveedor confirme por escrito que DICE tendrá derecho a ofrecer entradas, teniendo en cuenta la capacidad de aforo disponible, y atendiendo cualquier legislación relevante sobre salud y seguridad y cualquier otro asunto que el Proveedor tenga derecho a considerar por ley.

13.9.         Cuando la información del evento estipula un requisito de edad mínima para que un Cliente asista a un Evento, el Proveedor será totalmente responsable de que el Cliente presente una identificación válida en el momento de la admisión.

13.10.       El Proveedor se compromete a cumplir con todas las instrucciones y pautas de seguridad relacionadas con la oferta de Entradas para su Compra según lo notificado por DICE al Proveedor.

14.            Garantías Del Proveedor

14.1.         El Proveedor garantiza que:

(a)             Este Contrato ha sido debidamente autorizado, ejecutado y entregado por el Proveedor y constituye un acuerdo válido, legal y vinculante con el Proveedor, ejecutable según sus términos;

(b)             Tiene todos los derechos y permisos necesarios para patrocinar y/o promover cada Evento y para cumplir con las obligaciones del Proveedor según este Contrato;

(c)             Tiene todos los derechos y permisos necesarios para nombrar a DICE como agente registrado y para autorizar a DICE a ofrecer Entradas para su Compra en nombre del Proveedor;

(d)             Este Contrato no dará lugar a ninguna infracción, ni constituirá un incumplimiento de cualquier otro acuerdo en el que el Proveedor sea parte, incluyendo, sin límite, cualquier contrato para la venta u otra disposición de Entradas para un Evento;

(e)             Tiene experiencia en la publicidad, marketing y otros modos de promoción de Eventos y reconoce el riesgo de realizarlo, y el Proveedor no dependerá de DICE para ninguna cosa aparte de los servicios de distribución de Entradas específicamente según se describe en este Contrato; y

(f)              Es el propietario legal o licenciado legítimo de los Materiales o Información de Evento (si es aplicable) y tiene el derecho de otorgar a DICE una licencia a los Materiales e Información de Evento, y que el uso que haga DICE de los Materiales e Información de Evento no infringe ningún derecho de terceros (incluyendo los Derechos de Propiedad Intelectual e Industrial de terceros).

15.            Resolución

15.1.         Cualquier parte podrá resolver este Contrato en cualquier momento, entregando un preaviso por escrito a la otra parte con no menos de treinta (30) días de antelación. 

15.2.         Cualquier parte podrá resolver inmediatamente este Contrato al entregar notificación por escrito a la otra parte si:

(a)             La otra parte comete un incumplimiento grave de cualquier término de este Contrato que no tenga reparación, o si, siendo dicha infracción reparable, no repara dicha infracción dentro de un período de treinta (30) días después de que reciba una notificación por escrito para que lo haga;

(b)             La otra parte continua incumpliendo cualquier término de este Contrato después de que se le solicite por escrito reparar o desistir de dicho incumplimiento dentro de un período de treinta (30) días; o

(c)             La otra parte esté sujeta a un Evento de Insolvencia.


16.            Efectos De La Resolución

16.1.         La resolución de este Contrato, por las razones que sean, se entenderá sin perjuicio de cualquier derecho o responsabilidad de cualquiera de las partes acumulados en la fecha de resolución.

16.2.         Al ser resuelto este Contrato por cualquier razón, el Proveedor:

(a)             Pagará inmediatamente  a DICE cualquier suma debida por el Proveedor a DICE bajo este Contrato;

(b)             reembolsará a DICE cualquier Adelanto sobre un Evento que no se haya celebrado antes de la fecha de resolución de este Contrato;

(c)             eliminará todas las referencias a DICE y los Logos de DICE en cualquier anuncio, comercialización, y materiales de promoción, o sobre los sitios web del Proveedor o aplicaciones relacionados con los Eventos; y

(d)             dejará de usar cualquier Logo de DICE o Derechos de Propiedad Intelectual e Industrial de DICE; y

(e)             eliminará cualquier enlace a cualquier sitio web de DICE de los sitios o aplicaciones del Proveedor.

16.3.         Al ser resuelto este Contrato por cualquier razón, DICE:

(a)             Dejará de promover, comercializar y anunciar las Entradas;

(b)             Dejará de usar los Materiales; y

(c)             No tendrá la responsabilidad de hacer más pagos al Proveedor, salvo los pagos ya acumulados y debidos antes de la fecha de resolución del Contrato.

16.4.         Tras la terminación de este Acuerdo por cualquier motivo, todas las cantidades debidas por el Proveedor a DICE, ya sea en el ámbito de este Contrato o por cualquier otro motivo, deberán ser clasificadas como deuda senior, se considerarán prioritarias y deberán ser pagadas antes de cualquier cantidad debida por el Proveedor a cualquier tercera parte, ya sean dichas terceras partes acreedores garantizados o no garantizados del Proveedor.

16.5.         Salvo que se indique expresamente lo contrario en este Contrato, con la resolución o vencimiento de este Contrato, ninguna de las partes tendrá ninguna obligación adicional con la otra en virtud de este Contrato.  La resolución no afectará al funcionamiento de las Cláusulas 5.3 y 5.4 (Información de Evento), 9 (Pago y Distribución de Fondos), 10 (Propiedad Intelectual e Industrial), 12 (Datos Personales del Cliente), 16 (Efectos de la Resolución), 18 (Responsabilidad hacia los Clientes),  20 (Limitación de Responsabilidad), 21 (Compensación), 25 (Confidencialidad) y 33 (Derecho Aplicable) o cualquier otro término que expresamente o por implicación tenga la intención de entrar o permanecer en vigor en o después de la resolución. 

17.            Reconocimientos del Proveedor

17.1.         El Proveedor reconoce que el Local reservará el derecho por razones razonables y legítimas de negar la entrada o a expulsar del local a cualquier titular de Entrada sin reembolso. Por ejemplo, la gerencia del Local podrá expulsar a un titular de Entrada quien:

(a)             Se ha comportado en el Local del Evento de manera que, en la opinión razonable de la gerencia del local, ha afectado, o probablemente afecte, el disfrute de otros asistentes; o 

(b)             Use palabras o comportamiento amenazantes, abusivos o insultantes, o de cualquier manera provoca o se porte de una forma que pueda causar desorden público; o

(c)             Según el criterio razonable de la gerencia del local actúe bajo el efecto indebido de alcohol o estupefacientes; o

(d)             No entregue, cuando se le pida, prueba de identidad o edad (como y cuando sea apropiado).

17.2.         DICE no asume responsabilidad alguna por cualquier Pérdida incurrida como resultado de los eventos enumerados en  la Cláusula 17.1 anterior.

18.            Responsabilidad Hacia Los Clientes

18.1.         El Proveedor será el único responsable ante los Clientes de las Entradas y Eventos, y de la calidad o de la naturaleza de éstos, incluidos, entre otros, la calidad del sonido, la accesibilidad y otros aspectos relacionados con la realización del Evento o la asistencia del Cliente al Evento que incluye, entre otros, cualquier propiedad del Cliente.

18.2.         El Proveedor reconoce que los servicios proporcionados por DICE bajo este Contrato se limitan a actuar como agente del Proveedor para la venta de Entradas en nombre del Proveedor, que han sido asignadas a DICE por el Proveedor. Por tanto, la responsabilidad de DICE ante los Clientes se limita a su papel como agente para el cumplimiento de las Compras.

18.3.         El Proveedor será el único responsable de garantizar que cumple con todos los requisitos legales y estatutarios pertinentes, incluidos, entre otros, el cumplimiento de todas y cada una de las leyes de salud y seguridad aplicables.

18.4.         Ninguna cuestión o aspecto en este Contrato limita cualquier responsabilidad que no pueda ser legalmente limitada, incluyendo la responsabilidad por:

(a) muerte o lesiones personales;

(b) fraude o tergiversación fraudulenta; o
(c) cualquier responsabilidad que no pueda ser excluida o restringida por ley.

19.            Renuncia de Garantía 

19.1.         DICE renuncia expresamente a cualquier garantía que el uso de los sistemas informáticos de DICE (incluyendo los Servicios de DICE) o cualquier otro servicio online (conjuntamente “Sistemas”) se realice sin interrupciones o que los Sistemas estén libres de errores, o que las especificaciones o funcionalidad de los Sistemas cumplan con los requisitos del Proveedor.

19.2.         Si por alguna razón se interrumpen los Sistemas, el Proveedor acepta que DICE no será responsable ante el Proveedor, ningún Cliente o un tercero por ninguna Pérdida. Sin embargo, si hay interrupciones que en la opinión de DICE están dentro de su control razonable, el Proveedor acepta proporcionarle a DICE 30 Días hábiles para remediar cualquier interrupción, y durante ese tiempo el Proveedor no tendrá derecho a resolver este Contrato bajo la Cláusula 15, hasta que DICE tenga oportunidad razonable de reparar cualquier interrupción(es). El Proveedor deberá tomar medidas razonables, cuando corresponda, para mitigar las Pérdidas incurridas durante cualquier período en el que los Sistemas hayan sido interrumpidos, lo que puede incluir, entre otros, el alojamiento en otro sitio web o plataforma.

19.3.         Los Sistemas de DICE se proporcionan al Proveedor “tal cual” sin garantías de ningún tipo, ya sean expresas o implícitas, incluyendo, sin limitación, las garantías de comercialización o de idoneidad para un propósito  o uso específico en relación con el uso de internet, o de información en relación con cualquier Sistema proporcionado bajo este Contrato.

19.4.         El Proveedor reconoce que las comunicaciones electrónicas y las bases de datos están sujetas a errores, manipulación e interferencias no autorizadas. Aunque DICE acuerda tomar todas las precauciones razonables de seguridad para evitar dichos incidentes, DICE no garantiza ni se compromete a que no ocurran dichos eventos.

20.            Limitación de Responsabilidad

20.1.         Según la Cláusula 20.5, DICE no será considerado responsable de cualquier Pérdida, pérdida indirecta o consecuencial, o cualquier lucro cesante(ya sea directo o indirecto), pérdida de negocio, pérdida de ingresos, pérdida de datos, pérdida de fondo de comercio o pérdida de reputación del Proveedor o de cualquier otra tercera parte.

20.2.         Según la Cláusula 20.5, el máximo de responsabilidad total de DICE, sea por contrato, reclamación judicial (incluyendo negligencia), incumplimiento de deber legal o de otro tipo que surja bajo o en relación con cada Evento anunciado en los Servicios de DICE, no sobrepasará una cantidad equivalente a la Comisión por Servicios pagada a DICE en relación con el Evento correspondiente.

20.3.         Según la Cláusula 20.5, la responsabilidad total agregada de DICE bajo el Contrato en cada Año Contractual no excederá la cantidad total de la Comisión por Servicios pagada por el Proveedor a DICE en los 12 meses anteriores a la reclamación. 

20.4.         Según  la Cláusula 20.5, DICE no será responsable ante terceros por ninguna de las obligaciones o responsabilidades legales o contractuales del Proveedor en relación con la realización del Evento.

20.5.         No obstante lo anterior, nada que se haya escrito en el Contrato debe tomarse como limitación o exclusión de la responsabilidad que DICE pueda tener por (i) la muerte o lesiones personales debidas a la negligencia de DICE; (ii) fraude o declaraciones fraudulentas; o (iii) cualquier responsabilidad que no pueda ser excluida o restringida por ley. 

21.            Compensación

21.1.         El Proveedor compensará a DICE, defenderá y protegerá a DICE y las filiales y empresas asociadas de DICE y sus partícipes de negocios conjuntos (“joint venturers”), sucesores, cesionarios, directivos, ejecutivos, empleados y agentes (cada uno como “Parte de DICE”) y mantendrá la plena indemnización  eficaz para cada uno de ellos contra cualquier y todas las Pérdidas, impuestos, incurridos o reclamados contra cualquier Parte de DICE debido a: 

(a)             Cualquier Evento o Local (aparte de y en la medida que cualquier Pérdida surja directamente de la infracción de este Contrato por DICE o por negligencia de DICE);

(b)             Cualquier Entrada cancelada o de otra manera invalidada por DICE a petición del Proveedor;

(c)             Cualquier anuncio, marketing o promoción (aparte del material producido por DICE);

(d)             La producción y colocación de carteles ilegales por el Proveedor;

(e)             Materiales (según se definen en la Cláusula 10.3) que infrinjan cualquier derecho de terceros. 

(f)              La Información de Evento; y

(g)             La falsificación o robo de Entradas según la Cláusula 13.6.
(h)             cualquiera de las garantías o compromisos contenidos en la Cláusula 5.3; o

(i)              cualquier incumplimiento, no-observancia o no-ejecución de este Contrato por parte del Proveedor.

22.            Seguro

22.1.         Durante este Contrato, el Proveedor mantendrá vigentes las siguientes pólizas de seguro con compañías de seguros acreditadas:
(a)             seguro de responsabilidad civil.

22.2.         El Proveedor deberá, a solicitud de DICE, enviar inmediatamente a DICE en el momento de suscribir y renovar cada póliza, una copia de los certificados de las pólizas de seguro, los detalles de las coberturas provistas y el recibo de la prima.

23.            Notificaciones 

23.1.         Cualquier notificación enviada o que deba enviarse bajo este Contrato se realizará por escrito y en inglés, y será firmada por la parte que la expide, y se entregará en mano o por correo certificado, mensajería o correo electrónico. Cualquier notificación al Proveedor se enviará a la dirección proporcionada por el Proveedor en las Particularidades del Contratoo a la dirección de correo electrónico proporcionada por el Proveedor a DICE eventualmente.  Cualquier notificación para DICE deberá ser enviada a la dirección de DICE indicada en las Particularidades del Contrato o por correo electrónico a legal@dice.fm.  

23.2.         Las partes acuerdan que las disposiciones de esta Cláusula 23 no se aplicarán en relación con la notificación de cualquier procedimiento de acción legal, o procedimientos que surjan en relación con este Contrato o las relaciones jurídicas establecidas en este Contrato.

24.            Blanqueo de Capitales

24.1.         El Proveedor declara que:

(a)             No ha cometido ningún delito bajo la Ley 10/2010, de 28 de abril, de prevención de blanqueo de capitales y de financiación del terrorismo (en adelante, “Ley de Prevención Blanqueo de Capitales”) (un “Delito de Blanqueo de Capitales”);

(b)             No ha recibido notificación formal que esté sujeto a una investigación por alegación de Delito de Blanqueo de Capitales o cargos bajo la Ley de Prevención Blanqueo de Capitales;

(c)             No conoce ninguna circunstancia que pudiera dar lugar a una investigación relacionada con una alegación de Delito de Blanqueo de Capitales o cargos bajo la Ley de Prevención Blanqueo de Capitales.

24.2.         El Proveedor declara que:

(a)             Ha implementado y mantendrá hasta la resolución de este Contrato, procedimientos adecuados diseñados para evitar que personas relacionadas con el Proveedor (incluyendo empleados, subcontratistas, agentes, u otro tercero que trabaje para el Proveedor) (una "Persona Relacionada") puedan cometer un Delito de Blanqueo de Capitales; y

(b)             Cumplirá con la Ley de Prevención Blanqueo de Capitales y no realizará, ni incitará a ninguna Persona Relacionada a cometer ningún Delito de Blanqueo de Capitales o acto que pudiera constituir un Delito de Blanqueo de Capitales; y

(c)             No realizará ni permitirá que se realice ningún acto que causara que DICE o cualquier empleado, subcontratista o agente de DICE cometa un Delito de Blanqueo de Capitales o incurra ninguna responsabilidad en relación con la Ley de Blanqueo de Capitales; y

(d)             Notificará inmediatamente a DICE por escrito si llegase a su conocimiento o tuviese razón para sospechar que ha realizado, o que cualquier Persona Relacionada con ella ha infringido, o potencialmente infringido, cualquier obligación del Proveedor bajo esta Cláusula 26.  Dicha notificación deberá dar detalles completos sobre las circunstancias relacionadas con la infracción, o potencial infracción, de las obligaciones del Proveedor.

25.            Confidencialidad

Tanto durante y como después del Plazo de este Contrato, las partes mantendrán la confidencialidad y no desvelarán a ningún tercero este Contrato, cualquier negociación comercial u operacional, acuerdos o arreglos establecidos entre ellos, o cualquier información relacionada con el negocio u operaciones de la otra parte, salvo cuando lo requiera la ley y cuando la información correspondiente haya pasado al dominio público de otra manera que no sea la infracción de esta Cláusula 25. 

26.            Cesión

El Proveedor no cederá, transferirá, ni establecerá cargos sobre este Contrato o cualquier derecho u obligación relacionados con el mismo, sin que DICE otorgue su consentimiento previo por escrito. 

27.            Cambios

El Contrato sólo podrá ser cambiado, modificado o enmendado por medio de un documento firmado por ambas partes. Si cualquier disposición del Contrato es considerada inválida o inejecutable en cualquier aspecto, la validez y ejecución de las disposiciones restantes no se verán afectadas. 

28.            Terceros

Salvo que se indique expresamente lo contrario en el presente Contrato, nada de lo que figura en él, ya sea de forma expresa o implícita, tiene por objeto conferir derechos o vías de recurso a ninguna persona que no sea una de las partes en el presente Contrato.

29.            Renuncia

Ningún falta o demora por parte de cualquiera de las partes en ejercer cualquier derecho, poder o privilegio bajo este Contrato será interpretada como renuncia de dicho derecho, ni se considerará que cualquier ejercicio único o parcial de cualquier derecho precluya cualquier otro ejercicio, o ejecución adicional de dicho derecho, o el ejercicio de cualquier otro derecho, poder o privilegio

30.            Fuerza mayor

Mientras una parte no pueda realizar cualquier obligación de este Contrato debido a un incendio, un acto de Dios, acto de terrorismo, motín, huelga, fallo de electricidad o telecomunicaciones, o cualquier otro incidente o evento que fuera del control de la parte afectada, la falta de cumplimiento de dicha obligación no constituirá un incumplimiento o falta bajo este Contrato.

31.            Contrato completo

El Contrato constituye un contrato y acuerdo completo entre las partes en relación con el objeto del Contrato, y reemplaza cualquier y todos los contratos y acuerdos anteriores sobre los asuntos descritos en el mismo. Las partes reconocen que no han basado sus decisiones en declaraciones verbales o escritos hechos por la otra parte, o los representantes de la otra parte al formalizar el Contrato, incluyendo, aunque no limitado a cualquier información o material proporcionados por el personal de DICE, y cada parte renuncia de manera irrevocable e incondicional a cualquier derecho que tenga para resolver el Contrato o reclamar daños por declaración falsa, a menos que se haya realizado dicha declaración falsa de manera fraudulenta, o con infracción de cualquier garantía que contenga este Contrato o implícito bajo los términos de la ley. 

32.            Ley aplicable y jurisdicción

Este Contrato y cualquier asunto, disputa y reclamación que surja del mismo, o en relación con el mismo (sea de naturaleza contractual o no, tales como reclamaciones de daños, por infracciones estatutarias o reglamentarias, o de otro tipo) serán gobernados por e interpretados según las leyes de España, y las partes se someten a la jurisdicción exclusiva de los Tribunales de la ciudad de Madrid (España) en relación con cualquier disputa que surja debido a o en relación con este Contrato.


33.            Cláusula de Idioma
El texto íntegro de este contrato, así como los documentos que se deriven del mismo, incluidos los anexos, han sido escritos en español e inglés. Si bien ambas versiones se consideran oficiales, se fija como prioritaria para su interpretación la versión en español y será la que prevalezca en caso de disputa.

ENGLISH TRANSLATION

DICE SPAIN STANDARD ALLOCATION TERMS AND CONDITIONS
These Terms and Conditions form part of the Agreement between a Vendor and DICE, entered into pursuant to a DICE Spain Ticket Allocation Agreement Term Sheet.

LAST UPDATE: 5 March 2020

1.              Definitions and Interpretation
The definitions and the rules of interpretation in this Clause apply in this Agreement. The terms below shall have the meanings ascribed to them:

Additional Fee
means the portion of the Original Ticket Price which is payable by the Vendor to a third party (such as a third party ticketing agent or venue) for providing access to Customers to the Venue;

Agreement
means together the Particulars, the Commercial Terms and these Terms and Conditions;

Announce Date
means in relation to an Event to which DICE is to make available the Tickets to Purchase, the date on which DICE publishes information about that Event on the DICE Services;

Applicable Data Protection Laws
has the meaning set out in Clause 12.5(a);

Applicable Laws
means all national, supranational, foreign or local laws (including case law), legislation, European regulations, statutes, statutory instruments, rules, regulations, edicts, by-laws or directions or guidance from government or governmental agencies including any rules, regulations, guidelines or other requirements of relevant regulatory authorities which have the force of law together with any industry codes of practice in effect from time to time;

Business Day
means any day which is not a Saturday, a Sunday or a bank or public holiday in Spain;

Clause
means a clause to this Agreement;

Commencement Date
means the commencement date as set out in the Particulars;

Commercial Terms
the commercial terms of the Agreement;

Commission
means the sum which is agreed by the parties in writing to be the Commission and described in Clause 6.1(b);

Consent Notice
has the meaning set out in Clause 14.7(a);

Contract Year
the period of 12 months from the Commencement Date and each consecutive period of 12 months thereafter during the Term;

Customer
means a person who Purchases a Ticket;

Damages
means any direct damage, loss, liability, claim, obligation, deficiency, cost, expense, fine, or penalty (including reasonable legal, expert or consulting defence costs reasonably and properly incurred), but excluding Losses or any incidental, indirect or consequential damages;

DICE
means DICE FM SPAIN S.L.U., as further described in the Particulars;

DICE Fees
means the Service Fees, and, if applicable, the DICE Postal Fee;

DICE Logos
means the official DICE Logos as provided by DICE to the Vendor from time to time;

DICE Postal Fee
means the delivery fees charged by DICE to the Vendor fulfil the delivery of physical Tickets by DICE to Customers on behalf of the Vendor;

DICE Services
means the websites and mobile device ticket selling applications made available by DICE;

Event
means each and every entertainment feature or sporting event or any attraction of any kind either (i) presented, promoted or otherwise organised by the Vendor or (ii) that takes place at a Venue which the Vendor currently or subsequently owns or hold a majority or controlling interest in, operate or manages during the Term;

Event Information
means any and all information relating to an Event, Ticket and/or the Vendor as provided by the Vendor to DICE, including but not limited to, the Venue, the Announce Date, Onsale Date, the names of the performers, the dates of the Event, the dates and times of the performances, the exact seat details in the case of reserved seating areas and details of any special needs access or seating arrangements for the Event or whether the Event is subject to any contingencies including, but not limited to, the weather or any age restrictions;

Face Value
means the sum which is agreed by the parties in writing to be the Face Value and described in Clause 6.1(a);

Initial Term
has the meaning set out in the Particulars;

Insolvency Event
means where a party becomes or is reasonably likely to become insolvent, enters into bankruptcy, individual voluntary arrangement, liquidation, winding up, receivership or administrative receivership, administration, a corporate voluntary arrangement or compromises any debts with creditors or any other analogous proceedings in another jurisdiction;

Intellectual Property Rights
means any patent, copyright, trade mark, service mark or trade name, logo, utility model, design right, database right, moral right, right relating to passing off, domain name and all similar or equivalent rights in each case whether registered or not and including all applications (or rights to apply) for, or renewal or extension of, such rights which exist now or which will exist in the future in any jurisdiction;

Losses
means any loss of profit, sale or business, agreements or contracts, anticipated savings, corruption of software, data or information, damage to goodwill, indirect or consequential loss, claims, losses, demands, actions, third party claims, damages, costs (including court costs and legal fees), fines, liabilities, obligations, liens and expenses

Materials
has the meaning set out in Clause 10.3

New Customer
has the meaning set out in the Commercial Terms;

Onsale Date
means the date on which Tickets for an Event are made available for Purchase to the Customer;

Original Customer
has the meaning set out in the Commercial Terms;

Original Ticket Price
means the total amount paid by a Customer at the time of Purchasing a Ticket (not via the Waiting List);

Particulars
means the particulars of the Agreement;

Purchase
means the purchase or acquisition of a Ticket by a Customer from the Vendor via the DICE Services;

Renewal Term
has the meaning set out in the Particulars

Sales Proceeds
means the total of all Original Ticket Prices collected by DICE from Customers on behalf of the Vendor in respect of all Tickets Purchased for an Event, minus the total of all Original Ticket Prices refunded or due to be refunded to the Original Customer pursuant to the Commercial Terms;

Seat Selection Charge
has the meaning set out in the Commercial Terms;

Self Payout
the DICE self-billing and payment system available via the DICE Services subject to the Vendor and the Event meeting DICE’s requirements for Self Payout as issued to the Vendor from time to time;

Service Fees
has the meaning set out in the Commercial Terms;

Systems
has the meaning set out in Clause 19.1;

Term
means the Initial Term together with any Renewal Term(s);

Ticket
means any printed, digital ticket or other type of evidence of the right to occupy a space or attend an Event as offered for Purchase on the DICE Services;

Ticket Allocation
has the meaning set out in the Commercial Terms

Vendor
has the meaning set out in the Particulars

Vendor’s Bank Details
has the meaning set out in the Particulars

Vendor Marketing
has the meaning set out in Clause 12.6

Vendor Payment
means the Sales Proceeds less any amounts due to DICE (including the DICE Fees and Cancellation Fees) under this Agreement, plus any share of the Seat Selection Charge and any share of the difference between the Original Ticket Price and the Waiting List Price which DICE has agreed to share with the Vendor pursuant to the Commercial Terms;

Venue
means the building or site at which an Event is held;

Venue Levy
means the portion of the Original Ticket Price which is payable by the Vendor to the Venue for providing access to Customers to the Venue, such Venue Levy collected by DICE from Customers on behalf of the Vendor;

Waiting List
has the meaning set out in the Commercial Terms;

Waiting List Deadline
means the date on which the Waiting List for an Event closes; and

Waiting List Price
means the total amount paid by a New Customer at the time of Purchasing a Ticket via the Waiting List.

1.1.           The headings in the Agreement are inserted for convenience only and shall not affect the interpretation or construction of this Agreement.

1.2.           Words expressed in the singular shall include the plural and vice versa. Words referring to a particular gender include every gender.  References to a person include an individual, company, body corporate, corporation, unincorporated association, firm, partnership or other legal entity.

1.3.           The words “other”, “include”, “includes”, “including” and “in particular” shall not limit the generality of any preceding words or be construed as being limited to the same class as any preceding words where a wider construction is possible.

1.4.           References to any statute or statutory provision shall include: (i) any subordinate legislation made under it; (ii) any provision which it has modified or re-enacted (whether with or without modification); and (iii) any provision which subsequently supersedes it or re-enacts it (whether with or without modification).

1.5.           If there is any uncertainty between any provision contained in these Terms & Conditions and any provision contained in the Particulars or Commercial Terms, the provision in the Particulars or Commercial Terms shall prevail.

1.6.           This Agreement applies to the subject matter of this Agreement to the exclusion of any other terms that the Vendor seeks to impose or incorporate between the Vendor and DICE, or which are implied by trade, custom, practice or course of dealing.

2.              Appointment

2.1.           The Vendor hereby appoints DICE for the Term as its disclosed agent to advertise, promote and market the sale of Tickets by the Vendor in the Territory in accordance with the terms of this Agreement and any written instruction provided by DICE in writing from time to time.

2.2.           In consideration of the Service Fees, DICE will make available Tickets to be Purchased on the Vendor’s behalf. 

2.3.           The Vendor authorises DICE to collect the Sales Proceeds of each Ticket Purchased.

2.4.           Subject to Clauses 2.6 and 2.7, DICE will use its reasonable endeavours to sell its allocation of Tickets for an Event on behalf of the Vendor to Customers but DICE does not guarantee that any minimum or fixed number of Tickets will be Purchased through the DICE Services at any time.

2.5.           The Vendor may provide DICE with a copy of its terms and conditions of sale (if any) for disclosure to Customers during the Ticket order process through the DICE Services.

2.6.           The Vendor acknowledges and agrees that DICE’s appointment under this Agreement is on a non-exclusive basis, and that DICE may have many other events listed and other tickets offered for sale on the DICE Services concurrently with any Event, as promoted by other vendors.

2.7.           The Events included within the Ticket Allocation shall be subject to DICE’s sole and discretion. Further, if DICE enters into an arrangement with a venue before or after the date of this Agreement under which the venue allocates tickets to DICE to make available via the DICE Services, and such ticket allocation relates to an Event, DICE shall be entitled to exclusively make available such ticket allocation on the DICE Services to the exclusion of any tickets made available by the Vendor for that Event.

3.              Allocation

The Vendor shall allocate and, if necessary, deliver the Ticket Allocation to DICE for the Term, in the form and method as agreed between the parties in writing from time to time.

4.              Term

This Agreement shall come into force on the Commencement Date and (subject to the provisions in this Agreement for earlier termination in accordance with Clause 15) shall continue in force for the Term.

5.              Event Information

5.1.           The Vendor shall provide DICE with full and accurate Event Information for each Event for which DICE makes available Tickets for Purchase, such Event Information to include:

(a)             information which DICE is required to provide to Customers under any Applicable Laws; and

(b)             any other information reasonably requested by DICE, including the information referred to in Clause 6.

5.2.           The Vendor shall provide the Event Information no later than two (2) Business Days before the Announce Date of the relevant Event. For the avoidance of doubt, the Announce Date may occur before or at the same time as the Onsale Date

5.3.           The Vendor warrants and undertakes that it shall not provide any Event Information that:

(a)             is false, inaccurate or misleading;

(b)             infringes any third party's Intellectual Property Rights;

(c)             violates any Applicable Laws;

(d)             is, or may reasonably be considered to be harassing, unlawful, harmful, threatening, discriminatory, pornographic, deceptive, offensive or defamatory;

(e)             facilitates illegal activity;

(f)              causes damage or injury to any person or property;

(g)             may, in DICE's reasonable opinion, have a negative impact on DICE's business and/or reputation;

(h)             includes any information that references other websites (other than the Vendor's website), addresses, email addresses, contact information or phone numbers; and/or

(i)              contains any computer viruses, worms or any other potentially damaging computer programs or files.

5.4.           DICE shall not be liable, whether directly or indirectly, in contract, tort (including negligence), misrepresentation, restitution or otherwise.to any third party or any Customer for any breach by the Vendor of the warranties and undertakings provided by the Vendor under Clauses 5.3(a) – 5.3(i) above. 

5.5.           The Vendor hereby grants DICE a royalty-free, perpetual, irrevocable, transferable right and licence to use, reuse, copy, exhibit, modify, record, reproduce, broadcast, transmit, publish, distribute, display, perform, delete in its entirety, adapt, publish, translate, create derivative works from and/or incorporate the Event Information into any form, medium or technology now known or hereafter developed throughout the world without further notification, authorisation or compensation to the Vendor or anyone acting on the Vendor's behalf. The Vendor represents and warrants that no further permissions, consents or licenses are required from the Vendor or any third party for DICE to use the Event Information.

5.6.           DICE shall retain editorial control over all content presented on the DICE Services or otherwise communicated to users of the DICE Services, and DICE is entitled, in its sole and absolute discretion, to remove or procure the removal of any Tickets offered for Purchase or any Event Information uploaded or otherwise made available by the Vendor or on the Vendor's behalf which DICE consider to be in breach of the terms of this Clause 5.

5.7.           The Vendor shall obtain DICE’s prior written consent if the Vendor wishes to publish or otherwise make available to the public on any medium outside of the DICE Services a description of any element of the DICE Services. In obtaining DICE’s consent, the Vendor shall, at the request of DICE, provide a copy of such description to DICE. The Vendor and DICE shall consult together in writing on the timing, contents and manner of release of any announcement.

5.8.           The Vendor agrees to add mutually agreed DICE brand elements to the Events and/or the Venue, to be paid for and provided by DICE.

5.9.           Vendor agrees that for any brand sponsored events, DICE shall be informed in advance and shall have the option to remove any or all DICE branding from the venue where there may be conflict between the brands.

6.              EVENT FEES

6.1.           DICE and the Vendor shall, no later than two (2) Business Days prior to the Announce Date, agree and document (such documentation may be by email), the following information in relation to the Event:

(a)             The actual value ( the ‘Face Value’) for all Tickets;

(b)             the Commission;

(c)             where applicable, the DICE Postal Fee;

(d)             where applicable, the Venue Levy; and

(e)             where applicable, the Additional Fee.

6.2.           DICE shall not be obliged to make the Tickets available for Purchase until such time that the parties have met their obligations under Clause 6.1.

7.              EVENT CHANGES AND CANCELLATIONS

7.1.           The Vendor shall promptly and without any undue delay notify DICE of any:

(a)             scheduling changes;

(b)             Venue changes;

(c)             line-up changes; and/or

(d)             cancellations,

relating to Events with Tickets offered for Purchase through the DICE Services.

7.2.           The Vendor shall be solely responsible for any costs incurred by either party as a result of any Event changes or cancellations including, but not limited to, the matters listed in Clause 7.1 above.

7.3.           If DICE is required to amend the information displayed to any Customers on the DICE Services, the Vendor shall agree to reimburse DICE in full of any costs (if any) incurred by DICE in advertising or notifying the Customer of any changes to the Event or Event Information and make payment of any administrative fees incurred by DICE in relation to such changes.

7.4.           If an Event is cancelled, rescheduled (and the Customer is not able to attend the rescheduled date), or not performed to the Customer’s reasonable satisfaction, then the Vendor shall be responsible for providing any refunds due and payable to the Customer, such refunds to be payable in accordance with Clause 9.12. For the avoidance of any doubt, DICE shall not be liable to any Customer or third party for any Losses, demands, costs or expenses for any cancellation, postponement, delay or changes to the Event Information and the Vendor shall provide DICE with an indemnity against the same. The indemnity as set out in this clause 7.4 shall continue to operate notwithstanding the termination of this agreement for any reason or the expiry of the Term.

8.              DICE Fees

8.1.           The Vendor shall pay to DICE the:

(a)             DICE Fees; and

(b)             any Damages arising, if any, from an Event cancellation, in accordance with Clause 8.2.

8.2.           DICE will be entitled to Damages from the Vendor where an Event is:

(a)             cancelled, rescheduled, delayed, postponed, curtailed or not completed (in part or in full) for any reason; and/or

(b)             reseated or altered in any manner which necessitates or results in contact with the Customer being made to advise the Customer of any change to the Event Information or ticketing arrangement.

8.3.           The Vendor (i) authorises DICE to take payment of the DICE Fees plus applicable taxes and (ii) acknowledges that DICE shall retain any difference between each Original Ticket Price and the Waiting List Price (per Ticket, if applicable), by deducting such amounts from the Sales Proceeds held by DICE prior to remitting the Vendor Payment in accordance with Clause 9.

8.4.           DICE shall invoice the Vendor for:

(a)             the DICE Fees plus VAT if applicable, the timing and frequency of the invoices to be agreed between the parties in respect of each Event; and

(b)             any Damages within 90 days of the cancellation of the relevant Event.

8.5.           Where Self Payout is available for an Event, the Vendor may initiate the DICE invoicing and payment process via the Vendor’s account in the DICE Services.  Once the Vendor requests Self Payout for an Event, DICE’s invoice for the DICE Fees will be generated and issued to the Vendor. DICE will not issue a separate VAT invoice in respect of those DICE Fees.

9.              Payment and Distributions of Funds

9.1.           The Vendor authorises DICE, its agents and subcontractors to accept payment of the Sales Proceeds by Customers via any form of payment approved by DICE in writing in connection with the sale of Tickets, including any credit or debit cards.

9.2.           DICE may agree, in its sole and absolute discretion, to provide a sum of money to the Vendor as an advance for a particular Event to which DICE has received a Ticket Allocation (“Advance”).

9.3.           DICE shall pay the Vendor an amount equal to the Vendor Payment per Event, such payment to be made in accordance with this Clause 9 and subject always to Clauses 9.5 and 9.11.

9.4.           Subject to Clause 9.5, DICE shall pay the Vendor Payment to Vendor under Clause 9.3 within 5 Business Days of the date on which the performance of the relevant Event takes place.

9.5.           The following provision will apply in the event that an Advance has been paid as described in Clause 9.2:

(a)             if the Vendor Payment for the relevant Event is less than the Advance, the Vendor shall pay DICE an amount equivalent to the Advance minus the Vendor Payment; or

(b)             if the Vendor Payment for the relevant Event exceeds the Advance, then an amount equal to the Advance shall be deducted from the Vendor Payment for that Event, such that only an amount of the Vendor Payment for that Event in excess of the Advance shall be payable by DICE to the Vendor.

9.6.           The Vendor shall be responsible for remitting:

(a)             any Venue Levy to the Venue; and

(b)             any Additional Fee to the relevant third party.

9.7.           DICE shall make payment under Clause 9.3:

(a)             to the Vendor’s Bank Details using a third party payment processor (in accordance with Clause 9.10);

(b)             to the Vendor’s Bank Details by BACS (Bacs Payment Schemes Limited); or

(c)             by such other means as agreed between the Vendor and DICE in writing from time to time.

9.8.           DICE shall not make any payments to the Vendor until DICE has been provided with the Vendor's Bank Details. All funds payable by DICE to the Vendor under this Agreement shall be paid by DICE to the Vendor using the Vendor’s Bank Details, or such other bank account details as are agreed between DICE and the Vendor in writing.

9.9.           The Vendor agrees that DICE will not be responsible for verifying the Vendor's Bank Details or the authenticity of any settlement instructions and the Vendor agrees that DICE may rely on the Vendor's Bank Details as the correct bank account to debit or credit according to this Agreement. If the Vendor gives DICE an instruction to change the Vendor’s Bank Details, DICE is entitled to ask for written confirmation before acting on it. The Vendor must do all that is reasonably possible to prevent any unauthorised personnel sending DICE any instructions in relation to the Vendor's Bank Details and must tell DICE as soon as possible if an unauthorised person sends instructions to DICE. Unless the Vendor informs DICE otherwise in writing, the Vendor will be responsible for all instructions that DICE receives and acts on, even if the instructions were not given by the Vendor or the Vendor's authorised representatives, and the Vendor shall be liable for any Losses that arise from such instructions

9.10.         The payment processing services used by DICE to make payments to the Vendor are provided by a third party payment processor on behalf of DICE from time to time, currently Stripe Payments Europe, Ltd (“Stripe”). Any payments made via a third party payment processor will be subject to that entity’s terms and conditions, and in the case of Stripe, the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By entering in into this Agreement or continuing to treat DICE as a disclosed agent, the Vendor agrees to be bound by the Stripe Services Agreement (or other terms and conditions of the relevant third party payment processor as notified to the Vendor form time to time), as the same may be modified by Stripe from time to time. As a condition of DICE enabling payment processing services through Stripe (or other third party payment processor), the Vendor agrees to provide DICE accurate and complete information about the Vendor and its business, and the Vendor authorises DICE to share such information and transaction information related to the Vendor’s use of the payment processing services provided by Stripe (or other third party payment processor). The Vendor shall be fully liable for any Losses that arise as a result of any false, inaccurate or misleading information provided to DICE.

9.11.         DICE shall be entitled to set-off any amounts owed to DICE by the Vendor under this Agreement against Sales Proceeds held by DICE

9.12.         If a Customer is entitled to a refund in accordance with Clause 7.4, DICE shall be entitled to refund the relevant Customer on the Vendor’s behalf by:

(a)             setting off a sum equal to the refund from the relevant Sales Proceeds held by DICE; or

(b)             if the relevant Sales Proceeds are not sufficient to meet the refund payable, or DICE has already remitted the relevant Sales Proceeds to the Vendor, the Vendor shall remit to DICE such amounts as requested to enable DICE to fulfil the refund(s), such remittance to be made within forty-eight (48) hours of DICE's request.

9.13.         The Vendor shall be responsible for the payment and remittance of any and all taxes incurred or assessed on the Vendor Payment pursuant to the Agreement. Where VAT is applicable, the accounting and payment to HM Revenue & Customs of any VAT on any and all amounts payable to the Vendor under this Agreement shall be the Vendor's sole responsibility. The Vendor shall be responsible for providing a VAT invoice to a Customer for a Purchase, where requested by that Customer.

10.            intellectual property

10.1.         The Vendor shall include the DICE Logos in all relevant advertising or other promotional material created, produced, or used in relation to an Event.  For the purposes of this Clause 10.1 DICE hereby grants to the Vendor a non-exclusive, non-transferable, personal, revocable, limited licence to use the DICE Logos during the Term for the sole purpose of exercising the Vendor's rights granted under this Clause 10.1.

10.2.         Subject to Clause 10.1, the Vendor shall have no rights in respect of the DICE Logos or of the goodwill associated with the DICE Logos, or any other of DICE's Intellectual Property Rights.  The Vendor acknowledges that all rights, whether legal, beneficial or otherwise, and all goodwill in respect of the DICE Logos and any other of DICE's Intellectual Property Rights are and shall remain vested in DICE and that the DICE Logos and any other of DICE's Intellectual Property Rights are and shall remain, as between it and DICE, the property of DICE or its licensors.

10.3.         The Vendor may from time to time provide DICE with materials or content relating to Events, performers or the Vendor including photographs and images (audio and/or visual), text, music, trade marks, symbols, logos, slogans (“Materials”). The Vendor hereby grants DICE a royalty free perpetual licence to use the Materials for the purposes of advertising, marketing and promoting the relevant Events.

11.            Fly-posting

11.1.         The Vendor shall not permit encourage or arrange for fly-posting or other illegal advertising of an Event in contravention of any Applicable Laws. The Vendor shall not use DICE's name, website address, DICE Logos or any of the DICE’s Intellectual Property Rights in connection with fly-posting or other illegal advertising. In the event that DICE is notified that fly-posting has taken place in relation to an Event, this shall constitute a material breach of this Agreement and DICE shall be entitled to:

(a)             terminate this Agreement in accordance with Clause 15.2(a); and/or

(b)             set-off all costs incurred by DICE in the removal of posters and/or any fines or payments that DICE may be required to pay in connection with such fly-posting against Sales Proceeds for the relevant Event and/or any other events produced or promoted by the Vendor.

12.            Customers’ Personal Data

12.1.         In this Clause 12, the terms data controller, personal data, special categories of personal data and processing shall be as defined in the EU General Data Protection Regulation 2016/679 (as amended or replaced from time to time) (the “GDPR”) and:

(a)             “Data Subjects” are Customers; and

(b)             “Data” shall mean the personal data and special categories of personal data of Data Subjects processed in connection with this Agreement.

12.2.         This Clause 12 sets out the basis on which DICE provides the Data.

12.3.         DICE and the Vendor acknowledge that each party is a data controller of the Data, but are not joint data controllers.

12.4.         DICE may transfer the Data to the Vendor and other third parties (including Venues) to the extent that such Data is required for the running of a particular Event. The Vendor shall ensure that it has relevant contracts in place with such third parties containing obligations on such third parties equivalent to those set out in clause 12.5 and 25 below, and all other data protection obligations required under Applicable Data Protection Laws.

12.5.         Each party shall:
(a)             ensure that it complies with all applicable data protection laws when processing Data (including the GDPR) (“Applicable Data Protection Laws”);
(b)             process Data fairly and lawfully in accordance with Applicable Data Protection Laws; and
(c)             ensure that it has in place appropriate technical and organisational measures against unauthorised or unlawful processing of the Data, and against accidental loss or destruction of, or damage to, the Data.

12.6.         Where the Vendor wishes to conduct direct marketing in relation to a Data Subject (“Vendor Marketing”), it shall satisfy itself that it has a legal basis to do so in accordance with Applicable Data Protection Laws.

12.7.         The parties may agree that DICE obtains consent from a Data Subject on the Vendor’s behalf, for the purposes of the Vendor conducting Vendor Marketing. The following shall apply to any such arrangement:
(a)             DICE shall present a form of words to Data Subjects as a consent notice to Vendor Marketing (“Consent Notice”);
(b)             when relying on the Consent Notice, the Vendor shall limit its Vendor Marketing to activities that are permitted by Applicable Data Protection Laws, and within the scope of the Consent Notice; and 
(c)             in the event that a Data Subject provides their consent using the Consent Notice and subsequently communicates a request to a party to withdraw their consent to such Vendor Marketing during the Term: (a) the party receiving such withdrawal request shall promptly notify the other party in writing, and (b) the Vendor shall ensure that it immediately respects the Data Subject’s withdrawal of consent.

12.8.         The Vendor shall immediately inform DICE in writing if, in the Vendor’s opinion, any act or omission by the Vendor or DICE in relation to this Agreement infringes the Data Protection Laws or any other Applicable Laws relating to data protection and explain the reasons for its opinion, provided that this shall be without prejudice to clause 12.5(a).

12.9.         The Vendor shall implement and maintain, at its own cost and expense, appropriate technical and organisational measures in relation to the processing of any Data.

12.10.       The Vendor shall, at its own cost and expense, provide such information, co-operation and other assistance to DICE as DICE requires (taking into account the nature of processing and the information available to DICE) to ensure compliance with DICE’s obligations under the Data Protection Laws.

12.11.       The Vendor shall, at its own cost and expense, provide and procure reasonable access to DICE or any of its agents acting on behalf of DICE access to the Vendor’s facilities, equipment, premises, sites, personnel as required for DICE to comply with is obligations under the Applicable Data Protection Laws.

12.12.       Clause 12.5(a) shall survive termination or expiry of this Agreement.

13.            Tickets

13.1.         The Vendor shall accept all Tickets Purchased, including digital Tickets generated by the DICE Services, in order to admit Customers to each Event. The format of such digital Tickets shall be notified by DICE to the Vendor prior to the Event.

13.2.         If an Event requires a physical Ticket then DICE shall fulfil the delivery of the Tickets to Customers, and DICE shall be entitled to charge the DICE Postage Fees to the Vendor.

13.3.         The Vendor is responsible for ensuring the authenticity of any Tickets produced by a Customer at the time of admission

13.4.         Where DICE is required to provide a physical Ticket to Customers, DICE shall be entitled, at its sole and absolute discretion, to advertise or sell advertising on the reverse of any ticket. DICE shall use its reasonable endeavours to ensure that any advertiser or advertising is not directly or indirectly in competition with the Vendor or the Event. DICE shall not be liable for any false, inaccurate or misleading information contained with any advertisements displayed on the Tickets.

13.5.         If insufficient time prevents the delivery of Tickets to Customers, the Vendor will ensure that an email or electronic confirmation is sent to the Customer with an appropriate reference number to allow the Customer to exchange the confirmation for a Ticket on arrival at the Venue. The email confirmation may state that the Customer should exchange the confirmation for a bona fide Ticket at another specified location. The Vendor shall accept the email confirmation as Tickets Purchased.

13.6.         The risk of counterfeit or stolen Tickets shall rest solely with the Vendor. The Vendor shall indemnify DICE in respect of all Losses suffered or incurred by DICE in connection with counterfeit or stolen Tickets (save where caused by any breach of this Agreement by or negligence of DICE).

13.7.         DICE shall be entitled to, at its sole discretion, cancel any transaction for the Purchase of a Ticket if it has reason to believe that a Customer or potential Customer has used the DICE Services fraudulently or otherwise in contravention of DICE’s terms of use or purchase terms as updated from time to time (and as set out on the DICE Services). DICE shall not be obliged to make any payment to the Vendor in respect of any such transaction, and the Vendor shall, at DICE’s request, repay any funds already remitted by DICE to the Vendor in respect of any such transaction, to enable DICE to cancel the transaction and return such funds to the original payment method used to fund that transaction.

13.8.         DICE shall only offer the number of Tickets to Customers that the Vendor confirms in writing that DICE shall be entitled to offer taking into account the capacity of Venue, any relevant health and safety legislation and any other matters which the Vendor shall be entitled to consider by law.

13.9.         Where the Event Information stipulates a minimum age requirement for a Customer to attend an Event, the Vendor shall be fully responsible that the Customer presents valid identification at the time of admission.

13.10.       The Vendor agrees to comply with any security instructions and guidelines in relation to the offering of Tickets for Purchase as notified by DICE to the Vendor from time to time.

14.            Vendor’s Warranties

14.1.         The Vendor warrants that:

(a)             this Agreement has been duly authorised, executed and delivered by the Vendor and constitutes the valid, legal and binding agreement of the Vendor, enforceable in accordance with its terms;

(b)             it has all necessary rights and permissions to sponsor and/or promote each Event and to perform the Vendor's obligations under this Agreement;

(c)             it has all necessary rights and permissions to appoint DICE as a disclosed agent and to authorise DICE to offer Tickets for Purchase on the Vendor’s behalf;

(d)             this Agreement will not result in any breach of, or constitute default under, any other agreement to which the Vendor is a party, including, without limitation, any agreement for the sale or other disposition of Tickets for an Event;

(e)             it has experience in advertising, marketing and otherwise promoting Events and acknowledges the risk inherent in doing so, and the Vendor shall not rely on DICE for anything other than Ticket distribution services as expressly provided in this Agreement; and

(f)              it is the legal owner or lawful licensee of the Materials or Event Information (if applicable) and has the right to grant DICE a licence of the Materials and Event Information and that DICE's use of the Materials and Event Information does not infringe any third party rights (including third party Intellectual Property Rights).

15.            Termination

15.1.         Either party may terminate this Agreement at any time on giving not less than thirty (30) days prior written notice to the other party.

15.2.         Either party may immediately terminate this Agreement by giving notice in writing to the other party if:

(a)             the other party commits a material breach of any of any term of this Agreement which is incapable of remedy or, if such breach is remediable, fails to remedy that breach within a period of thirty (30) days after being notified in writing to do so;

(b)             the other party persists in any breach of any of the terms of this Agreement after having been required in writing to remedy or desist from such breach within a period of thirty (30) days; or

(c)             the other party is subject to an Insolvency Event.

16.            Effects  of Termination

16.1.         Termination of this Agreement however caused shall be without prejudice to any rights or liabilities of either party accrued at the date of termination.

16.2.         Upon termination of this Agreement for any reason the Vendor shall forthwith:

(a)             immediately pay to DICE any sums owed by Vendor to DICE under this Agreement;

(b)             reimburse DICE for any Advance for an Event that has not taken place prior to the date of termination of this Agreement;

(c)             remove all references to DICE and the DICE Logos on any advertising, marketing and promotional materials or on the Vendor's internet sites or applications relating to Events; and

(d)             cease to use any DICE Logos or Intellectual Property Rights of DICE; and

(e)             remove any links to any of DICE’s websites from the Vendor's website(s) or application(s).

16.3.         Upon termination of this Agreement for any reason DICE shall:

(a)             cease to promote, market and advertise the Tickets;

(b)             cease to use the Materials; and

(c)             have no responsibility to make any further payments to the Vendor, save for any payments already accrued and due before the date on which the Agreement is terminated.

16.4.         Upon termination of this Agreement for any reason, all sums owed by the Vendor to DICE, whether by operation of this Agreement or otherwise, shall be classified as a senior debt and will rank in priority to, and be paid by Vendor before, any sums owed by the Vendor to any third parties whether such third parties are secured or unsecured creditors of the Vendor.

16.5.         Save as otherwise expressly provided herein, upon termination or expiry of this Agreement, neither party shall have any further obligation to the other under this Agreement.  Termination shall not affect the operation of Clauses 5.3 and 5.4 (Event Information), 9 (Payment and Distribution of Funds), 10 (Intellectual Property), 12 (Customer Personal Data), 16 (Effects of Termination), 18 (Liability to Customers),  20 (Limitation of Liability), 21 (Indemnity), 25 (Confidentiality) and 33 (Applicable Law) or any other term which either expressly or by implication is intended to come into or remain in force on or after termination.

17.            The Vendor Acknowledgements

17.1.         The Vendor acknowledges that the Venue shall reserve the right on reasonable and lawful grounds to refuse entry to or remove from the premises any ticket holder without refund. By way of example, the Venue management may remove a Ticket holder who:

(a)             has behaved in the Event Venue in a manner which, in the reasonable opinion of the venue management has, or is likely to, affect the enjoyment of other visitors; or

(b)             uses threatening, abusive or insulting words or behaviour, or in any way provokes or behaves in a manner which may provoke a breach of the peace; or

(c)             the reasonable opinion of the venue management, is acting under the undue influence of alcohol or drugs; or

(d)             fails, when required, to produce proof of identity or age (as or when appropriate).

17.2          DICE accepts no liability whatsoever for any Losses incurred as a result of the events listed in 17.1 above.

18.            Liability to Customers

18.1.         The Vendor shall be solely responsible to Customers for Tickets and Events and the quality or nature Events, including, but not limited to, the sound quality, accessibility, and other aspects relating to the performance of the Event or the attendance of the Customer at the Event including, but not limited to, any Customer property.

18.2.         The Vendor acknowledges that the services provided by DICE under this Agreement are limited to serving as the Vendor's agent for the sale of Tickets on behalf of the Vendor, which have been allocated to DICE by the Vendor. Therefore, DICE’s liability to Customers is limited to its role as an agent for the fulfilment of Purchases.

18.3.         The Vendor shall be solely responsible for ensuring it complies with all relevant legal and statutory requirements including, but not limited to, compliance with all and any applicable health and safety legislation.

18.4.         Nothing in this agreement limits any liability which cannot legally be limited, including liability for:

(a)             death or personal injury;
(b)             fraud or fraudulent misrepresentation; or
(c)             any liability that cannot be excluded or restricted by law.

19.            Disclaimer of Warranty

19.1.         DICE expressly disclaims any warranty that the use of DICE's computer systems (including the DICE Services) or other online services (collectively “Systems”) will be uninterrupted or that the Systems will be error free or that the specifications or functionality of the Systems will meet the Vendor requirements.

19.2.         If for any reason the Systems are interrupted, the Vendor agrees that DICE shall not be liable to the Vendor, any Customer or any third party for any Losses. However, if any interruptions are in DICE’s opinion within their reasonable control, the Vendor agrees to provide DICE with 30 Business Days within which to remedy any interruption and during which time the Vendor shall not be entitled to terminate this agreement under Clause 15 until DICE have had a reasonable opportunity to remedy any interruption(s). The Vendor shall take reasonable steps, where appropriate, to mitigate any Losses incurred during any period where the Systems have been interrupted, which may include but is not limited to, hosting on another website or platform.

19.3.         DICE's Systems are provided to the Vendor on an “as-is” basis without any warranties of any kind, either express or implied, including without limitation warranties of merchantability or fitness for a particular purpose or use with respect to the Internet or use of information in connection with any Systems provided in this Agreement.

19.4.         The Vendor acknowledges that electronic communications and databases are subject to errors, tampering and break-ins. While DICE agrees to take reasonable security precautions to avoid such occurrences, DICE does not guarantee or warrant that such events will not take place.

20.            Limitation of Liability

20.1.         Subject to Clause 20.5, DICE shall not be liable for Losses, any indirect or consequential loss or any loss (whether direct or indirect) of profit, business, revenue, data, goodwill or reputation to the Vendor or any third party. 

20.2.         Subject to Clause 20.5, DICE's total maximum liability whether in contract, tort (including negligence), breach of statutory duty or otherwise arising under or in connection with each Event listed on the DICE Services shall not exceed an amount equivalent to the Service Fees paid to DICE in respect of the relevant Event.

20.3.         Subject to Clause 20.5, DICE's total liability in aggregate under the Agreement in each Contract Year shall in no circumstances exceed the total Service Fees paid by the Vendor to DICE in the 12 months preceding the claim. 

20.4.         Subject to Clause 20.5, DICE shall not be liable to any third party for any of the Vendor’s legal or contractual obligations or responsibilities in relation to the performance of the Event whatsoever.

20.5.         Notwithstanding the foregoing, nothing in the Agreement shall be taken to limit or exclude any liability which DICE may have for (i) death or personal injury arising from DICE's negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be excluded or restricted by law.

21.            Indemnity 

21.1.         The Vendor shall indemnify DICE, defend and hold harmless DICE and DICE's affiliated or related companies and their respective joint venturers, successors, assigns, directors, officers, employees and agents (each a “DICE Party”) and shall keep each of them fully and effectively indemnified against any and all Losses, imposed on, incurred by or asserted against any DICE Party arising from: 

(a)             any Event or Venue (other than and to the extent that any Losses arise directly from breach of this Agreement by DICE or DICE's negligence);

(b)             any Ticket cancelled or otherwise rendered void by DICE at the Vendor's request;

(c)             any advertisement, marketing or promotion (other than any material produced by DICE);

(d)             the Vendor’s production and placement of fly-posters;

(e)             the Materials (as defined in Clause 10.3) infringing any third party rights;

(f)              the Event Information;

(g)             counterfeit or stolen Tickets in accordance with Clause 13.6;

(h)             any of the warranties or undertakings contained under Clause 5.3; or

(i)              any breach, non- observance or non- performance of this Agreement by the Vendor.

22.            Insurance

22.1.         During this Agreement, the Vendor shall maintain in force the following insurance policies with reputable insurance companies:
(a)             public liability insurance.

22.2.         The Vendor shall, at DICE’s request, promptly send a copy of the insurance policy certificates, details of the cover provided and the receipt for the premium to DICE on taking out and on renewing each policy

23.            Notices 

23.1.         Any notice given or made under this Agreement shall be in writing and in English and signed by or on behalf of the party giving it and shall be served by hand delivery or by sending it by certified or registered mail, insured courier, or email. Any notice to the Vendor shall be sent to the address provided in the Particulars or to the email address provided by the Vendor to DICE from time to time.  Any notice to DICE shall be sent to DICE’s address in the Particulars or by email to legal@dice.fm.23.2.         The parties agree that the provisions of this Clause 23 shall not apply in relation to the service of any process in any legal action or proceedings arising out of or in connection with this Agreement or the legal relationships established by this Agreement. 


24.            Anti-bribery

24.1.         The Vendor undertakes that it:

(a)             has not committed an offence under Sections 1, 2, 6 or 7 of the Bribery Act 2010 (a “Bribery Offence”);

(b)             has not been formally notified that it is subject to an investigation relating to alleged Bribery Offences or prosecution under the Bribery Act 2010;

(c)             is not aware of any circumstances that could give rise to an investigation relating to an alleged Bribery Offence or prosecution under the Bribery Act 2010.

24.2.         The Vendor agrees that it:

(a)             has in place, and shall maintain throughout the Term and until termination of this Agreement, adequate procedures designed to prevent persons associated with the Vendor (including an employee, sub-contractor or agent or other third party working on behalf of the Vendor) (an "Associated Person") from committing a Bribery Offence; and

(b)             shall comply with the Bribery Act 2010 and shall not, and shall procure that no Associated Person shall, commit any Bribery Offence or any act which would constitute a Bribery Offence; and

(c)             shall not do or permit anything to be done which would cause DICE or any of DICE's employees, sub-contractors or agents to commit a Bribery Offence or incur any liability in relation to the Bribery Act; and

(d)             shall notify DICE immediately in writing if it becomes aware or has reason to believe that it has, or any of its Associated Persons have, breached or potentially breached any of the Vendor's obligations under this Clause 26.  Such notice to set out full details of the circumstances concerning the breach or potential breach of the Vendor's obligations.

25.            Confidentiality    

The parties shall, both during and after the term of this Agreement, keep confidential and not disclose to any third party this Agreement, any commercial or operational negotiations, agreements or arrangements entered into between them or any information relating to the business or operations of the other save as required by law or where the information in question has entered the public domain other than in breach of this Clause 25.   

26.            Assignment

The Vendor shall not assign, charge or make over this Agreement or any of its rights or obligations without the prior written consent of DICE. 

27.            Variation

The Agreement may only be varied, modified or amended by a document signed by each of the parties.  If any provision of the Agreement is held to be invalid or unenforceable in any respect, the validity and enforceability of the remaining provisions shall not be affected. 

28.            Third Parties 
Except where expressly stated otherwise in this agreement, nothing contained in this Agreement, whether expressed or implied, is intended to confer any rights or remedies on any person other than the parties to this Agreement.

29.            Waiver 

No failure or delay on the part of either party in exercising any right, power or privilege under this Agreement shall operate as a waiver of such right, nor shall any single or partial exercise of any such right preclude any other or further exercise of such tight or the exercise of any other right, power or privilege.

30.            Force majeure

While either party is unable to perform any obligation under this Agreement due to fire, act of God, act of terrorism, riot, labour dispute, power or telecommunications failure or any other happening or event beyond the control of the party concerned, that party's failure to perform that obligation shall not constitute a breach or default under this Agreement

31.            Entire Agreement 

The Agreement constitutes the entire agreement and understanding between the parties with respect to the subject matter of the Agreement and supersedes any and all prior agreements and understandings relating to the matters provided for herein. The parties acknowledge that they have not relied on any oral or written representations made by the other party or the other party’s representatives in entering into the Agreement, including, but not limited to, any information or material provided by DICE's personnel and each party irrevocably and unconditionally waives any right it may have to rescind the Agreement or claim damages for misrepresentation, unless such misrepresentation was made fraudulently, or breach of any warranty not contained in this Agreement or implied by operation of the law.

32.            Applicable Law 

This Agreement and any issues, disputes or claims arising out of or in connection with it (whether contractual or non-contractual in nature such as claims in tort, from breach of statute or regulation or otherwise) is governed by, and construed in accordance with, the laws of Spain and the parties submit to the exclusive jurisdiction of the Madrid (Spain) Courts in respect of any dispute arising out of or in connection with this Agreement.

33.            Prevailing Language Clause
The whole text of the present Contract, as well as the documents derived from it, including those in the Annexes, have been written in Spanish and English, both versions being deemed authentic, but for legal purposes the text in Spanish is to be given priority of interpretation and should prevail.
